Referral Partner Commission Terms & Program Rules

The Thrive Strategic Partners Referral Partner Program is designed for approved professional firms and advisors who introduce organizations that may benefit from Thrive’s training, advisory, and capability-building services.

The program is intended for consultants, attorneys, HR firms, compliance advisors, workforce strategy firms, and similar trusted professionals serving modern organizations. Participation in the program does not create an employment, agency, joint venture, or exclusive business relationship.

Participation is subject to review and approval by Thrive Strategic Partners. Applications may be approved, declined, paused, or revoked based on business alignment, service overlap, compliance concerns, partner fit, or other program considerations commonly addressed in referral-partner templates.

Approved participation is non-transferable and may be limited to certain sectors, geographies, or referral types if Thrive Strategic Partners determines that such limits are appropriate for the program.

A referral is considered a Qualified Referral only when all of the following conditions are met:

• The referred organization is new to Thrive Strategic Partners and is not already a current client, active opportunity, or existing sales conversation.
• The referral is submitted through Thrive’s designated referral process with enough information to evaluate the opportunity.
• The referred organization has consented to the introduction.
• The referral results in a signed, paid client engagement within the applicable review period.

A referral is not qualified if it is a duplicate, already in Thrive’s pipeline, speculative, unsolicited, or does not result in a paid engagement. B2B referral agreement templates commonly exclude duplicate and pre-existing opportunities from payout eligibility to avoid commission disputes.

Approved referral partners may receive a commission equal to 10% of net fees collected by Thrive Strategic Partners from a Qualified Referral’s initial signed engagement only.

For this program, net fees collected means revenue actually received by Thrive Strategic Partners for the initial engagement, excluding taxes, refunds, chargebacks, pass-through third-party costs, travel, reimbursable expenses, and similar non-service charges.

Commission does not apply to renewals, extensions, future projects, expanded scopes, or ongoing client revenue unless Thrive Strategic Partners agrees otherwise in writing.

Commission is earned only after Thrive Strategic Partners has received payment from the referred client for the eligible engagement.

Unless otherwise agreed in writing, commissions are reviewed and processed on a quarterly basis. Thrive Strategic Partners may withhold, reduce, or reverse a payment if the client payment is refunded, disputed, reversed, or never fully collected.

Referral partners are responsible for providing accurate payment details and for all taxes, reporting, and compliance obligations associated with payments they receive.

Referral credit is generally assigned to the first approved partner who submits a Qualified Referral through the designated process.

If Thrive Strategic Partners determines that a referred organization is already known, already active in the pipeline, or already referred by another source, no commission is owed. Thrive Strategic Partners retains final discretion in determining referral attribution and qualification based on its records.

Referral partners must represent Thrive Strategic Partners accurately, professionally, and in good faith. Partners may not make misleading claims, unauthorized promises, pricing commitments, or representations about Thrive services that have not been approved.

Partners are responsible for ensuring that their participation complies with any legal, regulatory, professional, ethical, employer, or licensing obligations that apply to them.

Partners must also respect client confidentiality and obtain appropriate permission before sharing client contact or business information with Thrive Strategic Partners.

Thrive Strategic Partners retains sole discretion over whether to pursue, scope, price, accept, or decline any referred opportunity. Thrive also retains the right to modify services, pricing, partner criteria, or program rules at any time.

Updated terms become effective when posted on this page unless otherwise stated. Continued participation after an update constitutes acceptance of the revised terms.

Participation in the referral partner program is non-exclusive. Referral partners may work with other businesses so long as they do not misrepresent their relationship with Thrive Strategic Partners or misuse Thrive confidential information.

Thrive Strategic Partners may suspend or terminate participation in the program at any time, with or without cause, including for breach of these rules, misrepresentation, unethical conduct, compliance concerns, or reputational risk.

Termination does not automatically invalidate commissions already earned on previously approved Qualified Referrals, but unpaid amounts remain subject to these terms, including payment collection status, refund adjustments, and compliance review.

Participation in the program does not guarantee referral acceptance, client conversion, specific earnings, or ongoing program availability.
